Scope of Terms
These Terms apply not only to your use of the websites operated by RestaurantDealers.com LLC, but also to any interactions, communications, consultations, demonstrations, presentations, onboarding assistance, or other services provided by RestaurantDealers.com LLC through any channel.

Such channels may include, but are not limited to, website forms, phone calls, email communications, SMS messages, social media messaging, virtual meetings, webinars, video conferences, in-person meetings, marketing campaigns, advertisements, or other forms of business communication.

Former DBA Name
RestaurantDealers.com LLC previously operated under the trade name Focus Restaurant Solutions and FocusRestaurantSolutions.com. References to Focus Restaurant Solutions in prior agreements, communications, marketing materials, invoices, or service records refer to the same legal entity, RestaurantDealers.com LLC. As of 2025, the Company operates exclusively under the RestaurantDealers brand.

Legacy Services (Pre-2025)
Prior to 2025, RestaurantDealers.com LLC operated as a reseller and implementation partner for certain
point-of-sale hardware and software solutions, including systems associated with the Focus POS platform. During that period, RestaurantDealers.com LLC may have sold hardware, licensed software, or provided installation, configuration, training, and support services directly to customers. Customers who
purchased products or services during that time (“Legacy Customers”) may continue to receive assistance or support in accordance with their original agreements or service arrangements.

Current Business Model
Beginning in 2025, RestaurantDealers.com LLC transitioned to operating primarily as an independent sales, marketing, and consulting partner that connects businesses with third-party providers of POS systems, payment processing services, and related technology solutions. RestaurantDealers.com LLC does not directly provide payment processing services, merchant accounts, underwriting, or payment settlement services. Such services are provided by the applicable third-party provider under a separate agreement between the merchant and that provider. RestaurantDealers may assist with onboarding, consultation, configuration guidance, training coordination, or secondary support, but the primary service provider remains the third-party vendor.

Partner Designations
RestaurantDealers.com LLC may refer to itself as a “Shift4 Partner,” “SkyTab Partner,” or similar designation when describing its relationship with certain technology providers. These designations are used solely for marketing or descriptive purposes to indicate participation in
partner or referral programs offered by such providers. These designations do not imply that RestaurantDealers.com LLC owns, operates, or directly provides
those products or services.

All payment processing services, merchant accounts, POS software subscriptions, hardware warranties, billing services, PCI compliance obligations, and primary technical support are provided exclusively by the applicable provider under separate agreements between the merchant and that provider.

Merchant Services Disclosure
Payment processing services referenced on this Site may be provided by third-party payment processors such as Shift4and other financial technology providers.

RestaurantDealers.com LLC:
• does not process payments
• does not hold merchant funds
• does not approve merchant accounts
• does not control underwriting decisions
• does not provide a final authorization of processing rates, fees or contract terms

All merchant services agreements are entered into directly between the merchant and the payment processor. Submission of an application through RestaurantDealers does not guarantee approval for merchant services

Merchant & Payment Guidelines
RestaurantDealers.com LLC may publish or provide informational guidelines related to payment processing practices, point-of-sale system usage, or compliance considerations for merchants (the “Merchant & Payment Guidelines”). These guidelines may include information regarding programs such as dual pricing, cash discount programs, surcharge rules, signage requirements, and related payment acceptance practices. The Merchant & Payment Guidelines are provided for informational purposes only and may be updated from time to time. Merchants remain solely responsible for complying with all applicable laws, card network rules, payment processor requirements, and disclosure obligations, including any signage, menu disclosures, or customer notifications required when implementing programs such as dual pricing or cash discount programs. No Financial Institution or Payment Processor Status
RestaurantDealers.com LLC is not a bank, financial institution, payment processor, or payment settlement provider. RestaurantDealers.com LLC does not hold, receive, transmit, or store merchant funds and does not participate in payment settlement or fund transfers.

Technology and Hardware
Hardware devices, POS software subscriptions, warranties, system updates, billing, and primary technical support are provided and managed by the applicable third-party provider. RestaurantDealers.com LLC does not manufacture hardware or software products referenced on this Site.

Technology Environment Disclaimer
The performance and availability of point-of-sale systems, payment processing services, software
integrations, and related technologies may depend on factors outside the control of RestaurantDealers.com LLC. These factors may include internet connectivity, local network configuration, third-party integrations, hardware devices, software updates, and services provided by third-party vendors.

RestaurantDealers.com LLC does not guarantee uninterrupted operation of any system or integration and shall not be responsible for service interruptions, delays, system failures, data transmission errors, or operational issues caused by internet providers, network infrastructure, third-party platforms, or external
service providers.

Affiliate / Partner Compensation Disclosure
RestaurantDealers.com LLC may receive referral commissions, revenue sharing, residuals or other compensation from certain technology providers when businesses enter into agreements with those providers following an introduction made through the Site. Such compensation does not alter the merchant’s agreement with the applicable provider.

Marketing Content and Testimonials
RestaurantDealers.com LLC may from time to time create marketing materials, educational content, testimonials, case studies, photographs, videos, interviews, or social media posts that feature businesses, business locations, products, or services associated with our clients.

By voluntarily participating in interviews, recordings, testimonials, photographs, videos, or other marketing activities with RestaurantDealers.com LLC, you grant RestaurantDealers.com LLC permission to use, reproduce, publish, display, and distribute such content for marketing, promotional, and educational purposes, including use on websites, social media platforms, advertisements, and other media.

RestaurantDealers.com LLC will make reasonable efforts to ensure that such materials accurately represent the participating business, but participation in such content does not imply endorsement of any specific services unless explicitly stated.

Website and Marketing Content Assistance
RestaurantDealers.com LLC may assist businesses with the creation of marketing materials, website content, photographs, videos, menus, social media content, or other promotional materials. Such assistance may be provided as a courtesy, promotional service, or optional support to help businesses
present their products or services.

Businesses remain solely responsible for reviewing, approving, and maintaining the accuracy of all information used in any website, marketing material, or promotional content related to their business, including pricing, product descriptions, policies, and regulatory disclosures.

Unless otherwise agreed in writing, businesses may use such content for their own marketing and promotional purposes, while RestaurantDealers.com LLC may retain the right to reference or display such work for portfolio, educational, or marketing purposes.

RestaurantDealers.com LLC does not guarantee website performance, search engine rankings, or
marketing results.

Privacy

For Legacy Customers who previously purchased hardware, software, or services directly from RestaurantDealers.com LLC, refund or cancellation terms are governed by the original purchase or service agreement. For services provided by third-party providers, including POS software subscriptions, payment processing services, or hardware systems, refund, cancellation, billing, and warranty policies are governed solely by the applicable provider agreement. RestaurantDealers.com LLC does not control those policies.

Third-Party Links
The Site may contain links to third-party websites. RestaurantDealers is not responsible for the content, privacy policies, or practices of third-party websites.

No Unlawful Use / Intellectual Property
You are granted a limited, non-exclusive, non-transferable license to access and use the Site. All content on the Site, including text, graphics, logos, and software, is the property of RestaurantDealers.com LLC or its licensors and is protected by intellectual property laws. Users may not reproduce, distribute, modify, or exploit Site content without permission.

Third-Party Accounts

International Users
The Site is controlled and operated from the United States. Users accessing the Site from outside the United States are responsible for compliance with local laws.

The arbitrator’s decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction. The arbitrator shall have exclusive authority to determine the scope and enforceability of this arbitration provision.

This arbitration provision shall survive termination of these Terms.

Class Action Waiver
All disputes must be brought solely on an individual basis. The parties agree that no claim may be brought as a class action, collective action, or representative proceeding. The arbitrator may not consolidate claims of more than one person and may not otherwise preside over any form of a class or representative proceeding.

Liability Disclaimer
All information, software, products, and services provided through the Site are provided “as is” without warranties of any kind.
To the maximum extent permitted by law, RestaurantDealers.com LLC shall not be liable for any damages arising from the use or inability to use the Site.

Termination
RestaurantDealers reserves the right to terminate access to the Site at any time without notice.

Severability
If any provision of these Terms of Use is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified or interpreted to reflect the original intent of the provision to the fullest extent permitted by law, and the remaining provisions of these Terms shall remain

Governing Law
